Registered Agent Requirements Under North Dakota Law

North Dakota wrote its registered agent rules by enacting the Model Registered Agents Act, codified as N.D.C.C. ch. 10-01.1. The chapter defines who may hold the role, what address qualifies, and how appointments and changes work, and it reaches every entity on file with the Secretary of State.

What Chapter 10-01.1 Requires

  • Appointment on file with the Secretary of State (§ 10-01.1-05), maintained for as long as the entity is registered
  • A qualifying agent: a North Dakota resident individual, or a corporation or LLC registered with the state that keeps a North Dakota business office
  • A real location (§ 10-01.1-04): the filing "must include a complete physical address in North Dakota for that agent," in the Secretary of State's words, and a PO box by itself does not satisfy the registered office requirement
  • Public listing: the agent's name and address sit on your entity's public record

The chapter splits agents into two classes. Commercial registered agents file a listing with the Secretary of State and serve many entities at once; that is the category we operate in.
