The Deadline, As the Statute Writes It

The Century Code phrases the requirement as delivery "before November sixteenth of each year." Translation: November 15 is the last on-time day, and delinquency starts November 16. No grace window exists.

One carve-out: farming, ranching, and authorized livestock farm LLCs answer to a separate chapter and file by April 15.

North Dakota Annual Report Fee: $50 Flat

$50 covers the filing when it lands on time. File after November 15 and the penalty doubles your outlay to $100. The fee schedule is statutory (§ 10-32.1-92), so no filing service can discount the state's share.

1. Start from the Secretary of State's maintain a registration page and follow it into FirstStop, the state's online filing system.
2. Open your entity record and verify the registered agent and principal office entries.
3. Confirm the listed governors, managers, or officers. North Dakota does not collect member or owner names on this report.
4. Pay $50 and submit before the deadline.

PLLCs carry one extra attachment: a Certificate of Professional License (SFN 13610) completed by the licensing board, with a copy of the filed report going to that board afterward.

Miss It, and the Meter Runs

November 16: the $50 penalty attaches. Total owed: $100.

Six months past due: N.D.C.C. § 10-32.1-90 permits involuntary termination by operation of law. The entity stops existing as a matter of state records.

Coming back: $135 reinstatement plus every unpaid fee and penalty accumulated along the way.
